Statement of the Shareholders’ Nomination Board of Ahlstrom-Munksjö Oyj
AHLSTROM-MUNKSJÖ OYJ STOCK EXCHANGE RELEASE JANUARY 25, 2021 at 15:30 EET
SPA Holdings 3 Oy has on January 20, 2021 announced that it will complete the tender offer for the issued and outstanding shares in Ahlstrom-Munksjö Oyj commenced on October 22, 2020, in accordance with the terms and conditions thereof. On January 25, 2021, Ahlstrom-Munksjö Oyj has pursuant to its obligations under the Combination Agreement entered into with Spa Holdings 3 Oy issued a notice to convene an Extraordinary General Meeting to be held on February 19, 2021. The notice to convene the Extraordinary General Meeting includes a proposal for the election of a new Board of Directors and on the remuneration of the Board of Directors, as well as proposals on certain other matters.
In light of the completion of the tender offer and proposal for new Board of Directors of Ahlstrom-Munksjö Oyj to be decided by the Extraordinary General Meeting on February 19, 2021, the Shareholders’ Nomination Board has decided to refrain from making proposals to the Annual General Meeting 2021 of Ahlstrom-Munksjö Oyj and to adjourn further deliberations.
